Affiliate Program Terms & Conditions

1. Acceptance of Terms
By applying to and participating in the Machinence Affiliate Program ("the Program"), you ("the Affiliate", "you") agree to be bound by these Affiliate Program Terms and Conditions ("these Terms"). If you do not agree to these Terms in full, you must not apply to or participate in the Program. Machinence may update these Terms at any time in its sole discretion, and continued participation in the Program after any changes constitutes acceptance of the revised Terms.
2. Definitions
"Machinence" refers to Machinence Ltd, a company registered in England and Wales, operated from 128 City Road, London, England EC1V 2NX. "Affiliate Portal" refers to the portal accessible at panel.machinence.io. "Affiliate" refers to an individual or entity approved by Machinence to promote its services and earn commissions. "Referral" or "Referred Customer" refers to a new customer who signs up for a Machinence subscription via the Affiliate's unique referral link. "Commission" refers to the percentage of revenue paid to the Affiliate for qualifying referrals. "Referral Link" refers to the unique tracking URL assigned to each Affiliate. "Subscription Plans" include Launch & Scale (£99/month) and Enterprise & Market Leader (£150/month), plus Additional User Seats (£45/month per seat). "Commissionable Revenue" includes subscription payments and additional seat payments only. Chat Topups, Domain purchases, and Company Formation fees are explicitly excluded from commission.
3. Enrollment & Approval Process
All affiliate applications are manually reviewed by Machinence. Submission of an application does not guarantee approval. Machinence reserves the right to approve or reject any application at its sole discretion, with a target approval rate of 20-30% of applicants. Approval criteria include, but are not limited to: audience quality and relevance, promotional methods, website or channel content, brand alignment, and geographic reach. Machinence is not obligated to provide reasons for rejection. Approved Affiliates will receive a unique referral code and access to the Affiliate Portal at panel.machinence.io. Machinence may revoke approval at any time if the Affiliate violates these Terms or engages in conduct detrimental to the Machinence brand.
4. Affiliate Obligations & Conduct
Affiliates must: (a) Promote Machinence in a truthful, ethical, and professional manner; (b) Comply with all applicable laws, regulations, and advertising standards, including but not limited to the FTC guidelines on endorsement and affiliate disclosure, the UK Consumer Protection from Unfair Trading Regulations 2008, and the GDPR; (c) Clearly disclose the affiliate relationship in all promotional content using phrases such as "affiliate link" or "I may earn a commission"; (d) Not make false, misleading, or unsubstantiated claims about Machinence, its features, pricing, or performance; (e) Not bid on Machinence-branded keywords in pay-per-click advertising (including but not limited to "Machinence", "machinence.io", and variations thereof); (f) Not impersonate Machinence or represent themselves as an official Machinence representative; (g) Not use spam, unsolicited email, or any form of intrusive marketing to promote their referral link; (h) Maintain the quality and accuracy of any content promoting Machinence and update it as needed to reflect current features and pricing.
5. Referral Attribution & Tracking
Attribution is determined using a combination of: (a) Referral link click (with a 90-day cookie window using a first-click-wins model, meaning the first Affiliate whose link the customer clicked receives the commission, even if the customer later clicks another Affiliate's link); (b) Server-side IP and user-agent matching as a fallback when cookies are unavailable; (c) First-click attribution model. The 90-day cookie window means that if a customer clicks an Affiliate's referral link and signs up within 90 days, the Affiliate receives attribution. If multiple Affiliates refer the same customer, the first-click Affiliate receives the commission. Machinence is not liable for tracking failures caused by browser settings, ad blockers, network issues, or customer behaviour that prevents cookie or server-side attribution. Self-referrals are strictly prohibited. Affiliates cannot earn commissions on their own subscriptions or accounts.
6. Commission Structure & Tiers
The base commission rate is 30% recurring for 12 months from the Referred Customer's first payment date. Commission is calculated on the net amount paid by the Referred Customer (excluding refunds, chargebacks, and payment processor fees). Tier upgrades are awarded based on cumulative confirmed conversions (not signups or clicks):
- Standard (0-49 conversions): 30% recurring commission
- Growth (80+ conversions): 35% recurring for 3 months from the tier grant date, then reverts to 30%
- Elite (100+ conversions): 40% recurring permanently
- Partner (500+ conversions): 40% recurring permanently plus a co-marketing budget allocation determined at Machinence's discretion
Tier boosts apply to all future commissions from the grant date forward and do not retroactively apply to previously confirmed commissions. The Growth tier boost is temporary (3 months) and expires automatically. The Elite and Partner tier boosts are permanent as long as the Affiliate remains in good standing. Machinence reserves the right to modify tier thresholds and rates at any time, with changes applying prospectively only.
7. Commission Calculation & Payment
Commissions are calculated as a percentage of Commissionable Revenue (subscription and seat payments only). Commissions are initially set to "pending" status when a Referred Customer makes a payment, and become "confirmed" after 30 days, provided the customer has not requested a refund or initiated a chargeback. Confirmed commissions are processed for payout monthly, with no minimum payout threshold. Payouts are made via the Affiliate's chosen method (Revolut Business preferred, Wise Business as fallback, or bank transfer). The Affiliate is responsible for providing accurate and current payout details. Machinence is not responsible for failed payments due to incorrect bank details provided by the Affiliate. All payouts are made in GBP (British Pounds Sterling). For Affiliates outside the UK, currency conversion fees charged by the Affiliate's bank or payment provider are the Affiliate's responsibility.
8. Reversals, Voided Commissions & Chargebacks
Machinence reserves the right to reverse, void, or claw back any commission if: (a) The Referred Customer requests a refund within the 30-day confirmation window; (b) The Referred Customer initiates a chargeback or payment dispute; (c) The Referred Customer cancels their subscription; (d) The commission was generated through fraudulent, deceptive, or prohibited means; (e) Machinence determines, at its sole discretion, that the referral does not comply with these Terms. Reversed commissions will be deducted from the Affiliate's pending or confirmed balance. If the Affiliate's confirmed balance is insufficient to cover the reversal, the Affiliate's future commissions will be applied to the outstanding balance until it is settled.
9. Prohibited Marketing Activities
The following activities are strictly prohibited and may result in immediate termination and forfeiture of all pending commissions:
- Cookie stuffing, pixel stuffing, or any technique that sets a tracking cookie without the user's explicit click action;
- Brand bidding on "Machinence" or related trademarks in Google Ads, Bing Ads, or any pay-per-click platform;
- Creating fake comparison sites, review sites, or "scam alert" pages designed to redirect traffic to Machinence;
- Using misleading pop-ups, pop-unders, or interstitial ads;
- Promoting Machinence on adult, gambling, illegal, or hate-speech websites;
- Sending unsolicited commercial email (spam) or posting referral links in unsolicited direct messages;
- Creating social media accounts or pages that impersonate Machinence;
- Offering cashback, rebates, or monetary incentives to customers for using the Affiliate's referral link (unless pre-approved in writing by Machinence);
- Using cloaked, shortened, or redirect URLs that obscure the destination domain;
- Any activity that violates the UK Bribery Act 2010, the GDPR, or any other applicable law or regulation.
10. Brand & Intellectual Property Guidelines
Machinence grants approved Affiliates a limited, non-exclusive, revocable licence to use Machinence trademarks, logos, and marketing assets solely for the purpose of promoting Machinence in accordance with these Terms. Affiliates must: (a) Use only approved marketing assets provided through the Affiliate Portal; (b) Not alter, modify, or distort Machinence logos or brand assets; (c) Not register domain names containing "Machinence" or variations thereof; (d) Not use Machinence trademarks in meta tags, hidden text, or search engine advertising; (e) Not imply endorsement, partnership, or official representation beyond the affiliate relationship. All Machinence trademarks, service marks, and intellectual property remain the exclusive property of Machinence. Upon termination, the licence to use Machinence brand assets is immediately revoked.
11. Data Protection & Privacy
Affiliates acknowledge that Machinence processes personal data in accordance with its Privacy Policy and the UK GDPR / Data Protection Act 2018. Affiliates must not collect, store, or process personal data of Referred Customers. Machinence does not share Referred Customer personal data with Affiliates, except in aggregate, anonymised form (e.g., "12 conversions this month"). If an Affiliate collects personal data from their own audience (e.g., email subscribers), the Affiliate is solely responsible for complying with all applicable data protection laws, including obtaining valid consent and providing privacy notices. Affiliate personal data is processed by Machinence for the purpose of administering the Program, processing payments, and complying with tax and legal obligations.
12. Term, Suspension & Termination
These Terms are effective from the date of Affiliate approval and continue until terminated. Either party may terminate this agreement at any time, for any reason, with immediate effect. Machinence may suspend or terminate an Affiliate's participation immediately if: (a) The Affiliate breaches any of these Terms; (b) The Affiliate engages in fraudulent, deceptive, or illegal activity; (c) The Affiliate's promotional content damages or is likely to damage the Machinence brand; (d) The Affiliate is inactive for 90 consecutive days (no clicks, signups, or conversions); (e) Machinence discontinues the Affiliate Program. Upon termination: (i) The Affiliate's referral link is deactivated; (ii) The Affiliate forfeits all pending (unconfirmed) commissions; (iii) Confirmed commissions that have not yet been paid will be processed in the next regular payout cycle; (iv) Future recurring commissions cease immediately, regardless of the 12-month duration; (v) The Affiliate must cease all use of Machinence brand assets and remove referral links from their content. Inactive Affiliates will receive warning notifications before account downgrade or termination.
13. Disclaimer & Limitation of Liability
The Program is provided "as is" and "as available". Machinence does not guarantee that the Program will be uninterrupted, error-free, or that commissions will achieve any particular amount. Machinence is not liable for: (a) Loss of commissions due to technical failures, tracking errors, or customer behaviour; (b) Indirect, incidental, consequential, or punitive damages; (c) Loss of revenue, profits, or business opportunities arising from participation in the Program; (d) Any action taken by Referred Customers, including cancellations, chargebacks, or payment disputes. To the maximum extent permitted by law, Machinence's total aggregate liability arising from or related to the Program shall not exceed the total commission amount paid to the Affiliate in the 3 months preceding the claim.
14. Independent Contractor Relationship
The Affiliate is an independent contractor, not an employee, agent, partner, or joint venturer of Machinence. Affiliates have no authority to bind Machinence to any obligation or agreement. Affiliates are solely responsible for: (a) Their own business expenses, including marketing and advertising costs; (b) Their own equipment, software, and internet access; (c) Compliance with all applicable laws and regulations in their jurisdiction; (d) Any taxes payable on commission earnings, including income tax, VAT, and any other applicable levies. Machinence does not withhold taxes from commission payments. Affiliates are not entitled to any employee benefits, including health insurance, paid leave, or retirement benefits.
15. Tax Obligations
Affiliates are solely responsible for reporting and paying all taxes due on commission earnings. UK-based Affiliates who are VAT-registered must provide a valid VAT registration number, and VAT will be added to commission payouts where applicable. Non-UK Affiliates are responsible for determining and fulfilling their own tax obligations in their jurisdiction. Machinence may request tax forms (UK Self-Assessment, W-8BEN, or W-9) from Affiliates before processing payouts. Failure to provide requested tax documentation may result in withholding of commission payments until compliance is confirmed.
16. Modifications to Program & Terms
Machinence reserves the right to modify the Program at any time, including commission rates, tier thresholds, cookie duration, payout methods, and commissionable products. Material changes to these Terms will be communicated to active Affiliates via email at least 14 days before taking effect. Changes to commission rates apply prospectively only (to commissions earned after the change date), not to commissions already confirmed or pending. Continued participation in the Program after the effective date of any changes constitutes acceptance of the modified Terms. If an Affiliate disagrees with a change, they may terminate their participation before the effective date, and confirmed commissions will be processed in the next regular payout.
17. Governing Law & Dispute Resolution
These Terms are governed by the laws of England and Wales. Any dispute arising from or relating to these Terms or the Program shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to exclusive jurisdiction of the courts of England and Wales. Notwithstanding the foregoing, Machinence may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or prevent ongoing violations of these Terms.
